All services are provided under these Terms and, where applicable, a separate written agreement or proposal.


4. Eligibility

By using our services, you confirm that you are:

  • At least 18 years old; and

  • Authorized to enter into a binding agreement with ECOSELL LIMITED on behalf of yourself or your company.


5. Service Agreements

When you engage us for a project, you may receive a written proposal or agreement detailing:

  • Scope of work

  • Deliverables and timelines

  • Payment terms

  • Revisions and limitations

Once accepted (verbally, in writing, or via payment), this agreement becomes legally binding.


6. Payment Terms

  • All prices are quoted in USD unless otherwise stated.

  • Payments can be made via debit/credit card, bank transfer, or other approved methods.

  • For custom projects, a deposit (usually 50%) may be required before work begins.

  • For subscription packages, payments are made monthly in advance.

  • Invoices must be paid by the due date stated.

  • Late payments may result in service suspension or additional administrative fees.


7. Refund Policy

Refunds are handled according to our official Refund Policy.
In summary:

  • Refunds are available only before work begins or if ECOSELL LIMITED fails to deliver agreed services.

  • No refunds are issued for completed or in-progress work, monthly subscriptions, or third-party costs (such as domain or hosting).


8. Intellectual Property Rights

  • Upon full payment, all intellectual property rights for the final website design and development are transferred to the client.

  • ECOSELL LIMITED retains ownership of:

    • Pre-existing code, tools, or frameworks used in development.

    • The right to display completed projects in portfolios, case studies, or promotional materials (unless otherwise agreed in writing).

  • Clients are responsible for obtaining proper licenses for any third-party images, fonts, or content provided to us.


9. Client Responsibilities

You agree to:

  • Provide accurate information, materials, and timely feedback.

  • Approve deliverables within reasonable timeframes.

  • Ensure all submitted content (text, logos, images) does not infringe any third-party rights.

  • Maintain valid and updated contact details for project communications.

We are not responsible for delays caused by the client’s failure to provide required information or approvals.


10. Website Content and Hosting

Unless otherwise specified:

  • Clients are responsible for maintaining their website hosting, domain registration, and renewals.

  • ECOSELL LIMITED may offer hosting or maintenance services under a separate plan.

  • We do not guarantee uninterrupted uptime for third-party hosting providers.


11. Revisions and Approval

Each project includes a defined number of revisions as outlined in your package or agreement.
Additional revisions or changes outside the agreed scope may incur extra charges.


12. Limitation of Liability

To the fullest extent permitted by law:

  • ECOSELL LIMITED shall not be liable for any indirect, incidental, or consequential damages (including data loss, loss of profits, or business interruption).

  • Our total liability under any contract shall not exceed the total amount paid by the client for the services provided.

  • We are not responsible for security breaches, malware, or downtime beyond our control.


13. Confidentiality

Both parties agree to keep all non-public information confidential and to use it solely for the purpose of fulfilling contractual obligations.


14. Termination

Either party may terminate the agreement with written notice if the other party:

  • Breaches these Terms and fails to remedy the breach within 14 days, or

  • Becomes insolvent or ceases business operations.

Upon termination, the client must pay for all work completed up to the termination date.


15. Data Protection

We process personal data in accordance with the UK GDPR and the Data Protection Act 2018.
Our Privacy Policy explains how we collect, use, and protect your personal information.


16. Third-Party Services

We may use third-party tools (such as Google Analytics, hosting providers, or payment gateways).
ECOSELL LIMITED is not responsible for their actions, availability, or performance.


17. Changes to Terms

We may update these Terms from time to time to reflect changes in our business or legal requirements.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.
